Chief executive Officer

 

Reporting to: Board of Directors

Status: Full time                                                                                                          Salary Grade:

 

Purpose:

Direct and control UPRS’ operations and give strategies guidance to the Board to ensure that the company achieves its Mission and Goals.

 

Main Duties:

Strategy and Operations 

1. Develop and execute organizational strategies objectives with guidance from the Board.

2. Formulate and implement the company strategic plan

3. Monitor and maintain deep knowledge of the industry trends 

4. Mobilize, manage and ensure availability of resources to support company core activities.

5. Assess and monitor the efficacy of UPRS strategies and targets to ensure revenue growth.

6. Review financial and non-financial reports to inform strategy formulation for income generation. 

7. Make capital allocation and investment decisions

8. Alignment of all operations and business activities with UPRS strategy and mission

9. Effective communication with stake holders and key partners

10. Conduct and attend stakeholder meetings to influence industry compliance

11. Build industry trust and rapport with key business partners and stakeholders

12. Prepare periodic/annual reports for Board and stakeholder engagements

13. Management of overall operational costs

14. Maintain quality service delivery to facilitate membership and partnership retention.

15. Oversee the Organization’s information and knowledge dissemination strategies.

         

 Supervisory 

16. Actively promote the wellness of UPRS employees and distinctive work environment that encourages employee engagement.

17. Monitor staff performance toward the achievement of the company goals and mission.

18. Develop periodic reports (performance and activity) for the Board of Directors and other key stakeholders. 

19. Effect optimal utility of human and other company resources.

20. Identify and bridge knowledge gap through capacity building strategies. 

 

Minimum Qualifications

1. A Bachelor’s Degree in a relevant field. 

2. A Masters Degree in a relevant field would be an added advantage. 

3. Excellent command of both spoken and written English.

4. At least 5 years in a senior management role, in a competitive environment.  

5. Entrepreneurial mindset with outstanding organizational and leadership skills.

Accountant

 

Department: Finance and Administration

Reporting to: Chief Executive Officer

Status: Full time                                                                                                          Salary Grade:

 

Purpose:

Manage and monitor the organization’s budget and overall finances. Oversee the maintenance of day-to-day financial, accounting and administrative services to meet the requirements of and support UPRS activities and operations.

 Main Duties:

1.  Receive cash payments from clients.

2.  Compile and manage the monthly cash flow.

3.  Develop the monthly payroll and allowances for submission to the CEO for approval.

4.  Capture, substantiate and ensure timely and accurate documentation of all day to day financial transactions.

5.  Prepare income statements, balance sheets and quarterly financial statements.

6.  Regularly maintain detailed reconciliations of all balance sheet accounts.

7.  Collect and analyze data relating to various cost centres of the company.

8.  Participate in business planning for the company, prepare all operational budgets and projections in liaison with the CEO.

9.  Monitor and Implement approved accounting procedures/internal controls.

10.  Prepare invoices, initiate payments approved by the CEO and issue receipts.

11.   Prepare necessary documentation in preparation and coordination of audit processes, and support the supervision of external and internal audits.

12.   Spearhead enforcement of financial policies, procedures and best practice.

13.   Custodian of office petty cash. This includes disbursement and accountability of petty cash.

14.   Custodian of all vendor contracts, service level agreements and any other financial records.

15.   Prepare tax computations and returns for filing to URA.

16.   Receive and verify accountabilities, support documents and invoices submitted for approval.

17.  Oversee the documentation and maintenance of complete and accurate supporting information for all financial transactions and accountabilities.

18.   Effectively handle banking relationships including, where applicable, negotiating for favorable transaction terms.

19.   Perform any other duties as may be assigned by the CEO.

20.   Distribute royalties to local and international beneficiaries.

 

Minimum Qualifications

1.   A relevant qualification in Accounting from a recognized institution

2.  A professional accounting qualification ACCA/CPA.

3.  A minimum of 4 years of relevant experience in a similar position.

4.  Good working knowledge of Accounting software.

Legal Officer

 

Department: Legal

Reporting to: Chief Executive Officer

Status: Full time

 

Purpose:

Maintaining records for all transactions, preparing monthly and quarterly financial reports and processing reimbursements.

 

Main Duties:

Legal Risk

1. Work closely with our Company secretary, researchers, Tech team, engineers, and management, guiding them through the process of acquiring, protecting, and using intellectual property such as copyrights.

2. Manage the IP portfolio and strategy.

3. Participate in innovation and product release committees and provide advice to your internal stakeholders (technology, product marketing, etc.) on IP matters.

4. Review and provide counsel in contracts involving IP aspects, and more generally assist your team members / stakeholders on any IP related matter.

 

 Litigation Management

5.  Works closely with UPRS’ external counsel on IP issues and strategy for protecting and enforcing UPRS’ intellectual       property rights within the Uganda and around the globe.

6.  Create awareness within the company on IP related topics.

7.  Develop, maintain, and implement best practices and processes for identification and protection of the company’s        IP consistent with its business goals.

8.  Advises UPRS’ management on intellectual property aspects of corporate partnerships and acquisitions.

9.  Identify IP training needs within UPRS and assist in the development and presentation of training materials on                relevant IP laws and related business issues.

 

Regulatory Compliance

10.  Assist on other legal matters, such as contracts, sourcing agreements, HR affairs and/or (pre)litigation matters.

11.  Initiate the formulation process of appropriate guidelines and policies to support the operations of the               organization.

12.  Coordinate strategic linkages with key shareholders to keep abreast of developments in the legal fraternity for best practice.

13.  Advise management on changes to any laws affecting the UPRS.

14.  Prepare agreements, memoranda of understanding, legal briefs and legal opinions as may be related to the organization’s business.

15.  Liaise with the organization\s external lawyers in handling legal proceedings against UPRS.

16.  Develop and implement a legal compliance checklist to guide the Organization’s activities and continuous monitor compliance with statutory obligations.

17.  Provide internal legal advisory services to the company.

18.  Conduct copyright law training and disseminate appropriate legal requirements to staff and relevant stake holders.

19.  Advise and guide UPRS processes that could have legal implications on the organization such as investigation and disciplinary proceedings.

20.  Perform other duties assigned the supervisor.

21.  Manage UPRS’ legal proceedings database.

 

 Minimum Qualifications

1.  A Bachelor of laws Degree from recognized institution.

2.  A post graduate diploma in Legal Practice

3.  An advocate of the courts of judicature.

4.  A minimum of 3 years in a similar position.

5.  Previous experience in the industry is an added advantage.

Internal Auditor

Reporting to: Audit and Risk Committee of the Board of UPRS

Status: Full time                                                                                                          Salary Grade:

 

Purpose:

Manage and monitor the organization’s financial risk and compliance. Develop and implement internal audit policies and procedures. Audit and administrative services to meet the CMO requirements of and support UPRS activities and operations. 

 Main Duties:

1.  Examine all company financial records including collections and distribution of royalties. 

2.  Identify potential non-compliance.

3.  Review internal data for potential financial and legal risk. 

4.  Seek out internal fraud and other forms of misuse of funds. 

5.  Communicate audit findings through comprehensive reports.

6.  Compile and implement an annual audit plan.

7.  Develop, implement and maintain internal audit policies and procedures in accordance with best practices.

8.  Conduct ad-hoc investigations into reported audit risk cases.

9.  Prepare necessary documentation for external audit purposes, and support the supervision of external audits.

10.  Spearhead enforcement of audit and audit related policies, procedures and best practice.

11.  Perform any other duties as may be assigned by the CEO.

   

Minimum Qualifications

1.  An accredited bachelor’s degree in Accounting, finance or a related field.

2.  A professional accounting accreditation for ACCA/CPA.

3.  4 years of relevant experience in a similar position.

4.  Good working knowledge of Accounting software.

5.  Previous experience in fraud auditing and or forensic accounting is an added advantage.

Licensing Officer

REPORTING TO: Licensing Manager

Purpose:

Grow the Licensing business by licensing public users of music in line with the Copyright and Neighbouring Rights Act 2006 and any amendments thereto.

 Main Duties:

1. Deliver high levels of professionalism and customer service.

2. Conduct sensitization drives to sensitize music users and the general public on Copyright Laws and the Society Mandate.

3.  Guide licensees when filling out required documents and verify information.

4.  Issue invoices to assessed licensees.

5.  Monitor and keep a record of all transactions and prepare monthly reconciliations and reports.

6.  Monitor and respond to queries and requests from licensees.

7.   Send out notices and reminders to licensees reminding them of their dues and due dates.

8.  Undertake research and keep up to date with industry trends and best practise.

9.  Contribute to the continuous improvement of Licensing processes.

10. Maintain a licensing dashboard.

11.  Prepare and implement an annual work plan, forecast and performance targets for licensing activities.

12. Execute any other duties assigned by his/her supervisor, in line with his/her mandate.

 

Minimum Qualifications:

1.   A relevant qualification in Sales or Marketing.

2.  A minimum of years’ relevant experience in a similar position.

As one of the oldest Collective Management Societies (CMO) in Africa UPRS should be well grounded in Uganda and her challenges would be minimal with excellent or significant collections and operations however, this has not happened because it faces challenges of limited resources, ignorance about the law, limited manpower, and outdated collecting techniques which have brought in very minimal collections. For these reasons, we seek to hire a Marketing/Public Relations/Public Image professional agency is to engage the stakeholders to understand and support the objectives of UPRS. 

2.    Purpose

The purpose of hiring a Marketing/Public Relations/Public Image professional agency is to engage the stakeholders to understand and support the objectives UPRS.           3.       Grow a positive understanding among 70% of the clients of the benefits of paying the licenses.

          4.       Design a recognition and/or reward campaign for 100% of the compliant clients/Users by 30 November 2023.

4.    Target AUDIENCE

Our targeted population is Commercial Users, Licensing Agents, Members, Stakeholders, Partners, Government policymakers and implementers, Board, Employees, Media, Political leaders e.t.c

Call for proposal to develop a mobile application for music licensing

A brief overview:

The Uganda Performing Rights Society was founded in 1985 by authors (primarily musicians) to further the cause of copyright administration in Uganda. It is registered with the Registrar of Companies as a Company Limited by Guarantee with no share capital, which means that all of its members own it. The government recognizes UPRS as a collecting society, and it is a member of the Confederation of International Societies of Authors and Composers (CISAC).

Typically, UPRS does the following:

  1. Monitors when, where, and what members’ works are used.
  2. Negotiates tariffs and other conditions with commercial music users.
  3. licenses the use of protected works on behalf of its members and of other rights holders it represents.
  4. Collects the fees from users and distributes these to the rights holders whose works have been exploited.

Among the features that must be included in a mobile application are:

 

1. To collect information from the music user evaluation form.

2. Determine the fees payable by each user based on the tariff: https://uprs.go.ug/licensing-tariffs/

3. Having access to both the front and back ends

4. UPRS and users can use the App to search for and view various reports.

5. Linked to our website.

6. SMS notifications received on both ends (user and UPRS).

7. A link is available for each assessed / licensed user (to be used by the SMS company to send text messages).

8. Each user should be able to log in and view his or her personal information (including payments, invoices, demand notes, and licenses).

9. The application should be able to scan QR codes.
